By accessing or using the Services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you must not use the Services. If you use the Services on behalf of a business, you represent that you have authority to bind that business to these Terms.

iTrustLocal is an online directory that helps consumers discover, review, and connect with local businesses. We provide business profiles, search tools, review features, direct messaging, and tools for business owners to claim, manage, and promote their listings. Some features require registration or payment.

To access certain features, you must create an account. You agree to provide accurate, current, and complete information and to keep it updated. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must notify us immediately of any unauthorized use.

Business listings are created from information submitted by owners, partners, third-party integrations, and publicly available sources. To claim a listing, you must complete the verification process we provide. Listing content must be accurate and must not infringe any third-party rights.

We reserve the right to approve, reject, modify, suspend, or remove any listing or claim at our sole discretion. We are not responsible for the accuracy of information provided by business owners or third parties.

Registered users may submit reviews, ratings, photos, comments, messages, and other content ("User Content"). You retain ownership of your User Content, but you grant Top Choice Media Inc. a non-exclusive, worldwide, royalty-free, sublicensable license to use, reproduce, modify, publish, display, and distribute it on the Services.

You are solely responsible for your User Content. You agree not to submit false, misleading, defamatory, abusive, infringing, or illegal content. We may remove or refuse to publish any User Content that violates these Terms or applicable law.

When using the Services, you agree not to:

• Use the Services for unlawful purposes or to violate any law or regulation.
• Post false, fraudulent, misleading, or defamatory information.
• Harass, abuse, threaten, or discriminate against others.
• Infringe intellectual property rights or proprietary rights of others.
• Upload or transmit viruses, malware, or other harmful code.
• Scrape, crawl, or collect data without our express written permission.
• Circumvent security measures, interfere with the Services, or access accounts you do not own.
• Use automated means to create accounts or submit content without authorization.

The iTrustLocal name, logo, branding, software, design, and original content provided by us are owned by Top Choice Media Inc. or our licensors and are protected by intellectual property laws. You may not use our trademarks, logos, or other proprietary material without our prior written consent.

Some features or listing upgrades require payment. Fees, billing periods, and cancellation terms are presented at checkout before you complete a purchase. All fees are non-refundable unless otherwise stated. We may change pricing with notice.

THE SERVICES AND ALL CONTENT ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.

We do not endorse, guarantee, or verify the accuracy, completeness, or reliability of business listings, reviews, ratings, or other user content. Your reliance on any such content is at your own risk.

TO THE FULLEST EXTENT PERMITTED BY LAW, TOP CHOICE MEDIA INC. AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATING TO YOUR USE OF THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

You agree to indemnify, defend, and hold harmless Top Choice Media Inc. and its affiliates from any claims, liabilities, damages, losses, or expenses (including reasonable legal fees) arising out of your use of the Services, your User Content, or your violation of these Terms.

We may suspend or terminate your access to the Services at any time, for any reason or no reason, including for violation of these Terms. You may terminate your account by contacting us. Upon termination, all licenses and rights granted to you under these Terms will cease.

These Terms are governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada, without regard to conflict of law principles. Any disputes will be resolved in the courts located in Ontario, Canada.

We may modify these Terms from time to time. We will post the updated version with a new effective date. Your continued use of the Services after changes means you accept the updated Terms.
